GMed: Terms and Conditions

1 Acceptance of Terms
These Terms and Conditions (“Terms”) govern access to and use of the GMED website, digital platforms, electronic medical record systems, and all related services (collectively, the “Services”).
By creating an account, accessing the website, subscribing to any digital service, or receiving clinical or occupational health services from GMED, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.
2 Definitions

“GMED, “we”, “us”, or “our” refers to Gobycon Med and its affiliated entities, authorised practitioners, contractors, and service providers.

“User”, “you”, or “your” refers to any individual or legal entity that creates an account, accesses the Website, subscribes to EHR services, or receives services from GMed.

“Member” refers to a User who has successfully created an account on the GMED platform.
-
“Clinical Services” refers to medical consultations, occupational health services, diagnostics, treatment, preventive care, and related healthcare services.

“EHR Services” refers to GMED’s electronic medical record, digital health information storage, access, transmission, and related functionality made available to Members as part of selected subscription packages
-
“EHR Terms” refers to the Electronic Health Records Terms and Conditions, as amended from time to time, which govern access to and use of the EHR Services and which are incorporated into these General Terms by reference.

“Subscription Package” refers to a defined EHR service tier selected by the User, subject to fees and feature limitations.
3 Membership and Account Creation

Membership is established when a User creates an account on the GMed platform.

Account creation does not itself establish a practitioner–patient relationship.

GMed reserves the right to:

Accept or decline account registrations
-
Verify identity and credentials
-
Suspend or terminate accounts for breach of these Terms or legal obligations
-

Users are responsible for maintaining the confidentiality of their login credentials and all activity conducted under their account.
4 Scope of Service

GMed provides:

Clinical and occupational health services delivered by qualified professionals
-
Subscription-based EHR Services
-
Website and digital platform access
-
-
EHR Services:
-
Are not a substitute for medical care
-
Do not constitute independent clinical advice
-
Are provided subject to the selected Subscription Package
-
Are governed by the EHR Terms, which apply in addition to these General Terms.

Access to certain EHR features may be contingent upon receipt of Clinical Services, regulatory requirements, or professional obligations.

EHR Membership Activation:

Membership for purposes of accessing EHR Services is established when a User creates an Account and successfully subscribes to an applicable EHR package.

Access to EHR Services is conditional upon acceptance of the EHR Terms at the time of subscription activation.

5 Fees, Subscriptions, And Billing

Fees may apply to:

Clinical Services
-
EHR Subscription Packages
-
Ancillary or administrative services
-

Fees will be disclosed prior to service delivery where applicable, or made available through published schedules, quotations, or subscription descriptions.

Fees applicable to EHR Services are separately disclosed and priced according to Subscription Package, and billable prior to service activation.

EHR subscription fees, billing cycles, cancellations, and plan changes are governed by the EHR Terms, subject at all times to the Consumer Protection Act, 68 of 2008.

GMED reserves the right to:

Modify pricing with reasonable notice
-
Suspend services for non-payment
-
Introduce new subscription tiers or features
-
6 Electronic Health Records (See Schedule A for comprehensive EHR Terms and Conditions)

EHRs are created and maintained in accordance with applicable healthcare laws and professional standards.

Ownership of EHRs resides with GMED as the healthcare provider or system operator, subject to Users’ statutory access rights.

Users may:
-
Access EHRs within the limits of their Subscription Package
-
Request copies or transfers as permitted by law
-

GMED may restrict, archive, or disable EHR access:
-
Upon subscription expiry
-
Upon termination of Clinical Services
-
Where required by law or professional obligation
-
7 User Obligations
Users agree to:

Provide accurate, complete, and lawful information
-
Use the Services only for legitimate purposes
-
Refrain from:
-
Unauthorised access or data manipulation
-
Uploading unlawful, misleading, or harmful content
-
Attempting to bypass security or subscription controls
-
8 Medical Disclaimer
-
Website content and EHR access do not constitute medical advice unless provided directly by a qualified practitioner in the context of a clinical consultation.

Medical decisions must be made in consultation with a licensed healthcare professional.
9 Data Protection and Privacy

GMED processes personal data in accordance with:

The Protection of Personal Information Act, 2013 (POPIA)

The EU General Data Protection Regulation (GDPR), where applicable
-

EHR Data Processing
-
The processing of personal data and special personal information in connection with EHR Services is governed by the Privacy Policy and the EMR Terms, including applicable Data Processing Addendum, Standard Contractual Clauses, and international transfer safeguards required under GDPR and POPIA.

10 Limitation of Liability

To the maximum extent permitted by law, GMED shall not be liable for:

Indirect, incidental, or consequential losses
-
Data loss due to external events beyond reasonable control

Service interruptions or system unavailability
-

Nothing in these Terms limits or excludes liability for:

Gross negligence
-
Fraud
-
Wilful misconduct
-
Liability that cannot be excluded by law

11 Termination
-
GMED may suspend or terminate Services or accounts where:

These Terms are breached
-
Legal or ethical obligations require it
-
Subscriptions lapse or fees remain unpaid
-

Termination does not affect lawful data retention obligations.
12 Intellectual Property
All intellectual property rights on the Website, systems, content, and software belong to GMed or its licensors.
13 Contractual Hierarchy
By continuing to access or use GMed services, platforms, applications, or websites, you confirm that you have read, understood, and agree to be bound by the following order of documents, as amended from time to time:

Where any inconsistency arises, the General Terms prevail, except where the EHR Terms expressly supplement them for EHR-specific matters.
14 Governing Law
These Terms are governed by the laws of the Republic of South Africa, with GDPR applying where EU data subjects are involved.
